By accessing our website or engaging MOASH Digital Solutions for any services, you agree to the following Terms & Conditions. Please read them carefully.
About Us
MOASH Digital Solutions is a digital agency based in Pune, Maharashtra, India, offering services including web development, AI automation, social media management, and SaaS solutions. Our proprietary product, Menuara, is a digital menu and ordering management platform designed for restaurants and food businesses.
Services
All services are subject to a signed Proposal / Statement of Work (SoW) and Master Service Agreement (MSA). These Terms serve as the general framework governing our relationship. In case of conflict, the signed MSA/SoW takes precedence.
Services offered by MOASH Digital Solutions include but are not limited to:
- Website Design & Development
- AI Automation Solutions
- Social Media Management
- Menuara — SaaS Platform (digital menu, ordering & restaurant management)
Intellectual Property
- All work created by MOASH Digital Solutions remains our intellectual property until full payment is received.
- Upon receipt of final payment, ownership transfers to the client as outlined in the project agreement.
- For Menuara, the platform, codebase, and underlying technology remain the sole property of MOASH Digital Solutions at all times. Clients are granted a usage license only.
- MOASH Digital Solutions retains the right to display completed work in its portfolio unless the client requests otherwise in writing.
Client Responsibilities
Clients are responsible for:
- Providing accurate content, credentials, and approvals in a timely manner
- Reviewing and approving deliverables within the timelines specified in the SoW
- Ensuring all materials shared with us do not infringe on third-party rights
Payments
- All fees are as per the agreed Proposal or SoW
- Payments are due as per the milestone schedule agreed upon
- Late payments may attract a delay fee as specified in the MSA
- All prices are in Indian Rupees (INR) and exclusive of GST unless stated otherwise
Refund Policy
All payments made to MOASH Digital Solutions are strictly non-refundable.
Once a project has commenced or a payment milestone has been cleared, no refunds will be issued under any circumstances. This includes partial refunds for incomplete or terminated projects. Work completed up to the date of termination will be billed and retained.
Clients are encouraged to review all proposals, scopes, and agreements carefully before making any payment.
Revisions & Scope
- Revisions are limited to the number specified in the project agreement
- Any work outside the agreed scope will be treated as a change request and billed separately
- MOASH Digital Solutions is not liable for delays caused by late client inputs or approvals
Confidentiality
Both parties agree to keep all project-related information confidential as governed by the signed Mutual NDA. This obligation survives termination of the engagement.
Termination
Either party may terminate the engagement with written notice as per the terms in the MSA. Work completed up to the date of termination will be billed accordingly. No refunds will be issued post-termination.
Limitation of Liability
MOASH Digital Solutions is not liable for:
- Indirect, incidental, or consequential damages arising from the use of deliverables
- Losses resulting from third-party platform changes (e.g., Google, Meta, Zomato, Swiggy)
- Any downtime, data loss, or security breaches caused by client-managed hosting environments
- Business losses arising from the use or inability to use Menuara or any other delivered product
Our total liability in any case shall not exceed the total fees paid by the client for the specific project in question.
Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
Amendments
MOASH Digital Solutions reserves the right to update these Terms at any time. Continued use of our services after any changes constitutes acceptance of the revised Terms.
